• These Terms govern your use of mytacheny.com and the way we communicate with you, including by text message.
• You can opt out of texts anytime by replying STOP. Texting us is never required to do business with us.
Disputes are resolved by binding arbitration on an individual basis. You give up the right to a jury trial and to participate in a class action (except where prohibited by law). See Section 23.
• These Terms do not replace your service contract — your project agreement controls the work we do at your home or property.

IMPORTANT — PLEASE READ CAREFULLY. THESE TERMS & CONDITIONS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION AND JURY TRIAL WAIVER IN SECTION 23. EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, THESE TERMS REQUIRE YOU AND TACHENY EXTERIORS TO RESOLVE DISPUTES INDIVIDUALLY THROUGH ARBITRATION RATHER THAN BY JUDGE OR JURY TRIAL OR THROUGH A CLASS ACTION. BY USING THE WEBSITE OR SERVICES, YOU AGREE TO THESE TERMS.

1. Acceptance of These Terms

Welcome to Tacheny Exteriors. These Terms & Conditions (the “Terms”) govern your access to and use of the website at mytacheny.com and any related subdomains (the “Website”), and your communications with us, including SMS text messaging. The Website is operated by Sam Tacheny Enterprises LLC and Tacheny Exteriors LLC, each doing business as Tacheny Exteriors (collectively, “Tacheny,” “Tacheny Exteriors,” “Company,” “we,” “us,” or “our”).

By accessing or using the Website or by communicating with us, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, do not use the Website or Services.

These Terms do not replace any signed services agreement between you and Tacheny Exteriors for a roofing, siding, window, door, gutter, stone, brake metal, or other exterior project. Your project agreement controls the work we perform at your home or property; these Terms govern your use of the Website and our communications with you.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Website or Services. By using the Website, you represent that you meet these requirements.

3. Scope of Services

Tacheny Exteriors provides exterior contracting services, including:

• Roofing replacement, installation, and repair
• Siding replacement, installation, and repair, including James Hardie fiber cement, engineered wood, vinyl, steel, and other siding products
• Window replacement (including Andersen, Marvin, Pella, ProVia and other certified products)
• Entry door and patio door replacement
• Gutter, downspout, and gutter-protection installation and replacement
• Stone and manufactured stone installation
• Custom brake metal fabrication
• Soffit, fascia, and exterior trim installation, replacement, and repair
• Skylight installation and replacement
• Storm-damage restoration and insurance-claim assistance
• Specialty exterior finishes

Service availability varies by location. We currently serve Minnesota, western Wisconsin, and Arizona. We do not perform repairs to windows or doors. We do not perform glass-only replacement or window screen repair.

4. Use of the Website

You agree to use the Website lawfully and not to:

• Use the Website for any purpose that is unlawful, fraudulent, or in violation of these Terms
• Attempt unauthorized access to any part of the Website, our systems, or any user’s account
• Interfere with, disrupt, or impose an unreasonable load on the Website or its underlying infrastructure
• Submit false, misleading, or inaccurate information
• Scrape, harvest, or extract data from the Website using automated means
• Use the Website to transmit malware, viruses, or other harmful code
• Use any tool to bypass or disable any security or technical limitation of the Website
• Reverse-engineer, decompile, or attempt to derive source code from any part of the Website
• Impersonate any person or misrepresent your affiliation with any person or entity
• Send unsolicited messages or commercial offers through the Website

We may suspend or terminate your access to the Website for any violation of these Terms.

5. SMS Messaging Terms (A2P 10DLC Compliance)

Our SMS messaging program is called Tacheny Exteriors Customer Communications. By submitting your mobile phone number through our forms, chat, calendar booking, or by direct request, and by checking the applicable consent box, you agree to receive SMS text messages from us, as described below.

A. Program Description

We send two distinct categories of messages, each requiring its own opt-in:
Transactional / informational messages: appointment confirmations and reminders, scheduling changes, on-the way notifications, project status updates, post-installation follow-ups, warranty and service reminders, and customer care responses.
Marketing / promotional messages: seasonal offers, promotions, new-service announcements, and customer-loyalty messages.

B. Message Frequency

Message frequency varies based on your project status and engagement, typically 1–10 messages per month.

C. Fees

Message and data rates may apply. Frequency varies. Contact your wireless carrier with questions about your text or data plan.

D. Opt-Out (STOP)

You may cancel SMS messaging at any time by replying STOP to any message we send. After you reply STOP, we will send a single confirmation message and you will no longer receive SMS messages from the program you opted out of. You may also opt out by emailing privacy@mytacheny.com or calling 651-484-1466 (MN/WI) or 480-618-7141 (AZ).
We process opt-out requests promptly and in any event within ten (10) business days, in accordance with the Telephone Consumer Protection Act and Federal Communications Commission rules. You may also revoke consent in writing at privacy@mytacheny.com.

E. Help (HELP)

Reply HELP to any text message for help, or contact us directly at privacy@mytacheny.com, 651-484-1466 (MN/WI), or 480-618-7141 (AZ).

F. Rejoining

If you previously opted out and would like to start receiving messages again, sign up through any of our forms or text START to the number that previously messaged you, and we will resume sending messages.

G. Carrier Disclaimer

Carriers are not liable for delayed or undelivered messages.

H. Consent

Consenting to receive text messages is not required to purchase any goods or services from us or to do business with us.
• Opt-in occurs through web forms, web chat, calendar booking, written form, or direct verbal request, with separate consent for transactional and marketing messages.
• Consent records are stored securely in our customer-relationship and messaging systems for at least four (4) years.
No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. See our Privacy Policy for full details.

6. Privacy and Data Use

8. Marketing Communications

If you opt in, we may contact you with promotional and marketing communications by phone, text, email, or mail. Consenting to receive marketing communications is not required to purchase any goods or services from us. You may opt out of marketing communications at any time by following the unsubscribe instructions in any email, replying STOP to any text, or contacting us at privacy@mytacheny.com.

If you opt in to autodialed or prerecorded calls or text messages, we may use an automatic telephone dialing system or artificial or prerecorded voice. Standard message and data rates may apply.

9. California Residents

California residents have additional rights under the California Consumer Privacy Act (CCPA), as amended by the California Privacy Rights Act (CPRA), including the right to know, request deletion, request correction, opt out of sale or sharing of personal information (we do not sell or share personal information as defined under California law), and limit the use of sensitive personal information. 10. Information on the Website

We strive to keep the Website accurate and up to date, but information on the Website may contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, availability, or service areas. We reserve the right, but are not obligated, to correct any errors, update or change information, or cancel orders or estimates if any information is inaccurate, in each case at any time without prior notice.

11. Pricing, Estimates, and Payment

All prices, estimates, and promotional offers shown on the Website are subject to change without notice. Final pricing for any project is established in your signed services agreement. Estimates are valid for the period stated in the estimate and are subject to verification of site conditions, measurements, and scope. Financing offers are subject to credit approval through our financing partners and are subject to those partners’ separate terms and disclosures.

12. Code of Conduct

When using the Website or interacting with our team by phone, text, email, chat, or in person, you agree to communicate respectfully and lawfully. You may not threaten, harass, or use abusive language toward our employees, subcontractors, or trade partners. We reserve the right to refuse service or terminate communication if you violate this Code of Conduct.

13. Intellectual Property

All content on the Website, including text, graphics, photos, videos, logos, designs, project galleries, and software, is the property of Tacheny Exteriors or its licensors and is protected by U.S. and international intellectual property laws. The Tacheny Exteriors name and logo are trademarks of Sam Tacheny Enterprises LLC. Manufacturer brand names and logos referenced on the Website (including Owens Corning, GAF, James Hardie, LP SmartSide, Andersen, Marvin, Pella, ProVia, and others) are the property of their respective owners and are used with permission or under fair use.

You may view, download, and print Website content for your personal, non-commercial use only. Any other use — including reproduction, distribution, modification, public display, or creation of derivative works — requires our prior written permission.

14. Copyright Infringement (DMCA)

If you believe content on the Website infringes your copyright, please send a written notice to our designated agent under the Digital Millennium Copyright Act (17 U.S.C. § 512(c)(3)). Your notice must include:

• A physical or electronic signature of the copyright owner or authorized agent

• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location on the Website
• Your contact information (address, telephone, and email)
• A statement of good-faith belief that the use is not authorized
• A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner

We do not control these third parties and are not responsible for their content, terms, privacy practices, or services. Your interactions with third parties are governed by their own terms and policies.

16. Linking to Our Website

If you operate a website and wish to link to our Website, the link must be clearly marked, must not damage or dilute our trademarks or goodwill, and must not create the false appearance that you or your content is associated with, endorsed by, or sponsored by Tacheny Exteriors. We may revoke linking permission at any time.

17. Feedback

If you submit suggestions, ideas, comments, or other feedback about our Website or Services, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that feedback for any purpose, without compensation or attribution to you.

18. Job Applicants

If you apply for a position with Tacheny Exteriors through the Website or a linked applicant tracking system (such as Paylocity), we will use the information you provide to evaluate your application and respond to your inquiry. Submission of a resume or application does not guarantee that we will review your materials or offer you employment. Third-party application portals are subject to their own terms and privacy policies.

19. Disclaimer of Warranties

THE WEBSITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED. SOME STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

This Section 19 disclaims warranties only with respect to your use of the Website. It does not modify, limit, or replace any product manufacturer warranty or any workmanship warranty contained in your signed services agreement.

20. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL TACHENY EXTERIORS, ITS OWNERS, OFFICERS, EMPLOYEES, SUBCONTRACTORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR RELATING TO YOUR USE OF THE WEBSITE OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, STATUTE, OR OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW LIMITATIONS OF LIABILITY, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

21. Indemnification

You agree to defend, indemnify, and hold harmless Tacheny Exteriors and its owners, officers, employees, subcontractors, and affiliates from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to (a) your use of the Website, (b) your violation of these Terms, or (c) your violation of any third party’s rights, including intellectual property or privacy rights. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with our defense of the claim.

22. Termination

We may suspend or terminate your access to the Website at any time, with or without notice, for any reason, including violation of these Terms. Sections that by their nature should survive termination — including Sections 13–14, 17, 19–21, 23–27 — will continue in effect.

23. Arbitration Agreement; Class Action and Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. EXCEPT WHERE PROHIBITED BY APPLICABLE LAW, IT REQUIRES BINDING ARBITRATION OF MOST DISPUTES INSTEAD OF LITIGATION IN COURT, AND IT INCLUDES A CLASS ACTION AND JURY TRIAL WAIVER.

A. Agreement to Arbitrate

You and Tacheny Exteriors agree that any claim, controversy, or dispute arising out of or relating to your use of the Website, our communications with you (including phone calls and text messages), our marketing, these Terms (including their breach, interpretation, applicability, or formation), or any promotion offered by Tacheny Exteriors — whether based in contract, tort, statute, or any other legal theory (each a “Dispute”) — will be resolved by binding individual arbitration before a single arbitrator, except as provided in Section 23(E) below.

This Section 23 does not apply to disputes arising under your signed services agreement for a roofing, siding, window, door, or other exterior project. Disputes under your services agreement are governed by the dispute-resolution provisions of that agreement, if any, or otherwise by applicable law.

B. Arbitration Administration

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, available at www.adr.org/Rules. The arbitration will be held virtually or in a location reasonably convenient to both parties. The arbitrator will have exclusive authority to resolve all Disputes, including any challenge to the validity or enforceability of this arbitration agreement.

Interpretation and enforcement of this arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.

C. Demand for Arbitration

If you intend to seek arbitration, you must first send a written demand for arbitration (the “Demand”) by first-class mail, FedEx, or UPS to: Tacheny Exteriors, Attn: Legal, 5201 Gershwin Ave N, Oakdale, MN 55128. The Demand must describe the nature and basis of the claim and the specific relief sought. If the parties cannot reach agreement within thirty (30) days after we receive your Demand, either party may initiate arbitration with the AAA.

D. Class Action and Jury Trial Waiver

YOU AND TACHENY EXTERIORS AGREE THAT ANY ARBITRATION WILL BE CONDUCTED IN OUR INDIVIDUAL CAPACITIES ONLY AND NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. YOU AND TACHENY EXTERIORS EACH WAIVE ANY RIGHT TO TRIAL BY JUDGE OR JURY AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. If a court or arbitrator determines that the class action waiver is unenforceable, this entire arbitration agreement will be null and void, but the remainder of these Terms will remain in effect.

E. Exceptions

Notwithstanding this arbitration agreement, either party may (a) bring an individual action in small-claims court within that court’s jurisdictional limits, or (b) seek injunctive relief in court to protect intellectual property or confidential information.

24. Governing Law and Venue

These Terms are governed by the laws of the State of Minnesota, without regard to conflict-of- laws principles. If the arbitration agreement in Section 23 is found unenforceable as to a particular Dispute, you and Tacheny Exteriors consent to the exclusive jurisdiction of the state and federal courts located in Washington County, Minnesota, except that for Disputes arising from work performed at a property in Arizona, you and Tacheny Exteriors consent to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona. Each party waives any objection to venue or inconvenient forum.

25. Severability

If any provision of these Terms is held to be unlawful, void, or unenforceable, that provision will be severed from these Terms and will not affect the validity or enforceability of any remaining provision.

26. Entire Agreement

These Terms, together with our Privacy Policy and any signed services agreement between you and Tacheny Exteriors, constitute the entire agreement between you and Tacheny Exteriors regarding the Website and our communications with you, and supersede all prior or contemporaneous oral or written communications on those subjects. These Terms are not assignable by you without our prior written consent.

27. Survival

Provisions that by their nature are intended to survive termination — including Sections 13, 14, 17, and 19–26 — will continue in effect after these Terms terminate or your use of the Website ends.

28. Changes to These Terms

We may revise these Terms at any time by posting an updated version on this page. Material changes will be highlighted on the Website prior to taking effect. Your continued use of the Website or Services after the posting of changes constitutes your acceptance of the revised Terms. Please review these Terms periodically.

29. Accessibility Statement
